1. Grant of License and Basic Principles
1. Grant of License
The Company (TOKYO AIC PTE. LTD.) grants users a non-exclusive, non-transferable, non-sublicensable, limited license to use, in accordance with these terms, the video footage, templates, audio, and AI avatar features provided through this service (Billionclips) (collectively, the "Content and AI Avatar Features"), based on the plan the user has selected and the credits the user consumes. This license is irrevocable, except with respect to content generated in violation of these terms; for content generated in violation of these terms, the license is immediately revoked pursuant to Article 8, Paragraph 2 of the Terms of Service.
2. Reservation of Ownership
This license does not transfer to the user ownership of the Content, the AI avatar models, the systems, or any intellectual property rights associated with them. All rights are reserved to the Company or the applicable rights holders.
3. Principle of Business Use
Users shall use this service, in accordance with applicable law, for the business purposes of an organization or an individual, whether commercial or non-commercial.
2. Permitted Scope of Use
Users may use the Content and Generated Content they have obtained for the following purposes (except where such use falls under the prohibited activities in Article 4):
- Producing commercial and non-commercial advertising and promotional videos
- Posting on websites, blogs, and in presentation materials
- Posting on YouTube, TikTok, Instagram, and other social media and video-sharing platforms
- Use in publications, TV programs, films, and streaming content (credit attribution may be required)
- Editing and processing (cutting, adding captions, color grading, etc.)
3. Credit Attribution

4. Acceptable Use Policy and Prohibited Activities
In using this service (including the AI Avatar Features and Generated Content), users must not engage, whether directly or by permitting, inducing, or facilitating a third party to engage, in any activity falling within the following categories.
① Impersonation, Fraud, Rights Infringement, and Discrimination
- Impersonating the Company, any real person (whether a public figure, celebrity, or private individual), or an organization, or otherwise misrepresenting an affiliation in a manner reasonably likely to mislead.
- Infringing or misappropriating another person's right of likeness, right of publicity, moral rights, right of privacy, honor, trademark rights, copyright, or other intellectual property rights.
- Using this service for fraud, phishing, identity theft, unauthorized financial or investment solicitation, or elder abuse.
- Creating or distributing obscene, defamatory, discriminatory, hateful, threatening, or otherwise offensive content directed at an individual or a specific group.
② Adult Content, Exploitation of Minors, and Advertising of Harmful Products
- Use for pornography, adult entertainment, the sex industry, sexually suggestive content, or content intended to appeal to sexual curiosity.
- Exploiting, harming, or exposing minors, or using an avatar to depict a minor or expose a minor to inappropriate content.
- Wrongfully promoting or advertising age-restricted products or services, such as alcohol, tobacco or e-cigarettes, psychoactive substances, firearms or weapons, gambling, or dating or escort services.
③ Politics, Propaganda, Public Opinion Manipulation, and National Security Threats
- Spreading conspiracy theories, misinformation, or disinformation, or engaging in election campaigning, public opinion manipulation, or political or religious propaganda activities.
- Wrongfully removing, altering, or disabling watermarks or verification mechanisms used to identify AI-generated content.
- Sending spam, robocalls, or unsolicited mass communications (unsolicited promotions).
- Using stock avatars in connection with sensitive political or social controversies, news reporting, fundraising, or topics likely to provoke conflict directed at a specific demographic.
- Providing resources or support for, or justifying, international terrorist organizations, military attacks, acts of war, destruction of critical infrastructure, or other catastrophic and dangerous acts resulting in death or serious bodily injury.
④ Misuse of Platform Features and AI Technology
- Reverse engineering, decompiling, gaining unauthorized access, distributing malware or viruses, or circumventing the platform's protection or monitoring mechanisms.
- Excessively or unreasonably consuming computing or generation resources, or wrongfully obtaining credits by abusing referral programs or promotions.
⑤ Prohibitions Relating to Content and Rights Management Systems
- Reselling, redistributing, sublicensing, or renting the Content itself, or offering it through a Content download site or template service.
- Selling or distributing the Content as a standalone product or piece of content.
- Prohibition on registration with rights management systems: registering or claiming the Content of this service, or any work incorporating it, as one's own original work in Instagram Rights Manager, TikTok Content Claiming, YouTube ContentID, or any other platform's copyright management system or rights-claiming program. This is strictly prohibited because it infringes the license of other users who are legitimately using the same Content.
- Incorporating stock avatars or Content into non-fungible tokens (NFTs), design registrations, or trademark logos.
5. Model Release and Property Release
1. Model Release (Likeness Rights)
Where a Content page displays "Model Released," consent for the use of the depicted person's likeness has already been obtained. For persons used in the AI Avatar Feature, the Company has, under a separate agreement executed with that person (including a rights assignment agreement), obtained consent to the AI-based reproduction and synthesis of their likeness and voice (avatar creation), AI lip-sync, voice synthesis (voice cloning), and the generation of speech based on any text or script using that avatar. However, use of such Content remains limited to the scope of these license terms.
2. Property Release (Ownership and Facility Rights)
For Content featuring buildings, brand logos, artwork, or the like, a property release has not necessarily been obtained. Users are responsible, at their own risk, for confirming any rights clearances required for their use.
6. Measures for Violations, Immediate Revocation, and Liquidated Damages
- 1. If a user violates these license terms or the Terms of Service (in particular, the prohibited activities in Article 4), the Company may, without prior notice, immediately revoke and terminate the license, suspend the account, and order the deletion or removal from publication of Generated Content (a Red Card measure).
- 2. Where a violation is found, the user must immediately cease using this service's Content and any Generated Content, and destroy any data already saved or distributed.
- 3. Where a user violates the prohibited activities, the user shall, pursuant to Article 7 of the Terms of Service, pay the Company liquidated damages of JPY 300,000 (or USD 2,000) per violation. Where actual damages exceed the amount of liquidated damages, the user is also liable for the excess amount, including attorneys' fees and investigation costs.
7. Amendment of These License Terms
The Company may update these license terms from time to time as the service and technology evolve or as laws change. Amendments take effect once posted on this platform.
